PORT 7 STUDIO — STUDIO RENTAL AGREEMENT

This Studio Rental Agreement (“Agreement”) is entered into as of the Effective Date set forth below by and between Port 7 Studio (“Port 7,” “Studio,” “Owner”) and the client identified below (“Client”).

2. Definitions

“Premises” means the physical studio space, including common areas, dressing rooms, kitchen, and restrooms at Port 7.

“Equipment” means any furniture, fixtures, lighting, grip, camera, props, or other tangible property owned or provided by Port 7.

“Booking” means the scheduled date(s) and time(s) for which Client has reserved the Premises under this Agreement.

“Normal wear and tear” means deterioration that occurs through ordinary, reasonable use of the Premises and Equipment and excludes damage, loss, or vandalism caused by negligent, reckless, or intentional acts.

3. Booking, Payments & Authorization

3.1 Booking Confirmation _ A Booking is confirmed only after Client has (i) signed this Agreement (or accepted electronically), (ii) paid any required deposit and the non-refundable clean up fee described below, and (iii) provided a valid credit card on file.

3.2 Payment Terms _ Client shall pay all fees as set forth on Port 7’s invoice or booking confirmation. Unless otherwise agreed in writing, full payment (less any deposit already paid) is due no later than 7 days before the Booking start date.

3.3 Credit Card on File; Authorization _ Client shall provide a credit card number and expiration date (the “Card on File”) as security for payment of fees, charges, damages and any other sums due under this Agreement. Client authorizes Port 7 to charge the Card on File for: (a) any unpaid fees; (b) the $100 non-refundable clean up fee; and (c) reasonable costs to repair or replace Premises or Equipment for damage, loss, theft or vandalism beyond normal wear and tear, as described in Section 7. Port 7 will provide the Client with documentation and a written itemization of charges as provided in Section 7.4 before charging the Card on File except where immediate charges are required to prevent further loss or hazard.

4. Non-Refundable Clean Up Fee

4.1 Fee _ Client shall pay a non-refundable cleanup fee of $100 per Booking (the “Clean Up Fee”). The Clean Up Fee is intended to cover routine cleaning and upkeep (including floor cleaning, trash removal, general resetting of the space) after Client’s use of the Premises.

4.2 Scope _ The Clean Up Fee does not cover extraordinary or excessive cleaning (including heavy staining, biohazards, hazardous materials, or excessive debris) which shall be billed separately at Port 7’s then-current rates and may also be charged to the Card on File under Section 7.

5. Use of Premises; Prohibited Conduct

5.1 Permitted Use _ Client shall use the Premises solely for lawful photographic, film, video, production or related creative activities stated in the Booking.

5.2 Prohibited Items & Activities _ Client shall not bring or use hazardous materials, open flames, fireworks, firearms (unless expressly permitted and insured), or conduct any illegal activity on the Premises. Any prohibited conduct constitutes a material breach and may result in immediate termination of the Booking without refund.

6. Equipment Use, Inventory & Condition

6.1 Inventory _ Port 7 may provide equipment for Client’s use. Any equipment provided will be listed on a written inventory at the start of the Booking. Client accepts equipment “as inspected” at check-in unless Client provides written notice of issues immediately upon arrival.

6.2 Care of Equipment _ Client shall use Equipment in a safe and standard manner. Client shall not modify or repair Equipment without Port 7’s prior written consent.

7. Damage, Loss, Theft & Vandalism; Right to Charge

7.1 Responsibility _ Client is responsible for all loss, theft, damage, or vandalism to the Premises or Port 7 Equipment caused by Client, Client’s guests, contractors, or invitees, except for damage resulting from normal wear and tear.

7.2 Authorization to Charge _ If Port 7 determines there has been damage, loss, theft or vandalism beyond normal wear and tear, Client authorizes Port 7 to charge the Card on File for costs to repair or replace the damaged, lost or stolen items, plus any related labor, disposal and administrative fees.

7.3 Estimation & Documentation _ Port 7 will (a) document the condition with photographs and an itemized estimate of repairs or replacements, and (b) use reasonable efforts to provide Client with the documentation and estimate within forty-eight (48) hours after discovery. Port 7 may hold any deposit and apply it to such costs.

7.4 Notice & Dispute _ Port 7 will notify Client in writing (email acceptable) of the specific charges applied to the Card on File and provide supporting documentation. Client shall have seven (7) calendar days from receipt of the notice to dispute the charges in writing. If Client timely disputes, Port 7 will not finalize the charge until Port 7 has had a reasonable opportunity to investigate; however, Port 7 reserves the right to charge immediately if necessary to prevent further loss or address an imminent hazard.

7.5 Indemnity for Theft / Vandalism by Third Parties _ Client shall indemnify and hold Port 7 harmless for theft or vandalism caused by Client’s third-party crew, guests or invitees where such loss resulted from Client’s breach of obligations (e.g., leaving secure areas unlocked).

8. Security Deposit (Optional / If Applicable)

8.1 Deposit _ If a security deposit is required for the Booking, Port 7 will specify the amount in the Booking confirmation. Port 7 may apply the deposit to any unpaid fees, damages, cleaning costs, or other amounts due under this Agreement and will return any remaining deposit to Client within fourteen (14) days after the Booking subject to Section 7.

9. Insurance & Risk Allocation

9.1 Client Insurance _ Client shall maintain, at its sole cost and expense, general liability insurance (including products/completed operations coverage where applicable) with limits reasonably acceptable to Port 7 and property insurance covering Client’s own property. Port 7 may require certificates of insurance naming Port 7 as an additional insured and/or certificate holder.

9.2 Waiver of Subrogation _ To the extent permitted by their insurers, Client and Port 7 waive rights of subrogation against each other for losses covered by their respective insurance policies.

10. Indemnification & Limitation of Liability

10.1 Indemnity _ Client shall indemnify, defend and hold harmless Port 7, its owners, agents and employees from and against all claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising from Client’s use of the Premises, including claims by third parties, except to the extent caused by Port 7’s gross negligence or willful misconduct.

10.2 Limitation of Liability _ Except for liability arising from Port 7’s gross negligence or willful misconduct, Port 7’s total liability under this Agreement is limited to direct damages not to exceed the total amounts actually paid by Client to Port 7 under this Agreement for the Booking.

11. Cancellation & Rescheduling

11.1 Cancellation _ Cancellation terms shall be as set forth on the Booking confirmation/invoice. Any deposit (other than the non-refundable Clean Up Fee) may be refundable as stated in the Booking confirmation.

11.2 Rescheduling _ Rescheduling requests must be in writing and are subject to Port 7’s availability and any additional fees.

12. Condition on Surrender

Client shall leave the Premises reasonably clean and in the same condition as at the start of the Booking, subject to normal wear and tear. Client shall remove all personal property and equipment by the end of the Booking unless otherwise agreed. Port 7 may charge for removal, storage, or disposal of items left behind.

13. Right to Inspect; Entry

Port 7 reserves the right to enter the Premises during the Booking for the purposes of inspection, maintenance, or to address an emergency. Port 7 will use reasonable efforts to avoid unnecessary disruption.

14. Compliance with Law

Client shall comply with all applicable laws, regulations, licensing requirements, union rules and building rules during the Booking.

15. Force Majeure

Neither party shall be liable for delay or failure to perform due to circumstances beyond its reasonable control, including acts of God, strikes, pandemics, governmental orders, fire, flood or severe weather.

16. Termination

Port 7 may terminate this Agreement and/or the Booking immediately if Client breaches any material term (including prohibited conduct) or creates a dangerous condition. Termination does not relieve Client of payment obligations for the Booking or other amounts owed.

17. Miscellaneous

17.1 Independent Contractors _ The parties are independent contractors. No employment relationship is created.

17.2 Notices _ Notices shall be in writing and delivered to contact information set forth above.

17.3 Governing Law _ This Agreement shall be governed by the laws of the State of [STATE] without regard to conflict of law principles.

17.4 Assignment _ Client may not assign this Agreement without Port 7’s prior written consent.

17.5 Entire Agreement; Amendment _ This Agreement contains the entire agreement between the parties and may be amended only in writing signed by both parties.

18. Signatures

By signing below or accepting this Agreement electronically, Client acknowledges that they have read, understood and agree to be bound by all terms and conditions.
